1. ELIGIBILITY & ACCOUNT REGISTRATION

• Age Requirement: By using this Platform, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into a binding contract under Indian law.
• Account Security: To access specific features, purchase products, or register as an independent artisan/vendor, you may be required to register an account. You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
• Accuracy of Information: You agree to provide true, accurate, current, and complete information during registration and checkout. We reserve the right to suspend or terminate accounts containing fraudulent or misleading data.

2. THE TRUGIFT SERVICE & ECOSYSTEM

Trugift is a curated, multi-vendor marketplace platform specializing in personalized gift hampers, corporate gifts, wedding favors, art pieces, and home decor.

• The Multi-Vendor Model: Trugift provides an interface that connects independent creators/vendors with buyers. While Trugift hand-verifies its partners and maintains a rigorous quality seal, some items are fulfilled directly by third-party sellers.
• Split-Order Logic: Our platform features automated split-order routing. If you purchase multiple treasures inside a single curated gift box that originate from different independent artisans, your items may be packaged, tracked, and shipped in distinct stages or parcels.

3. PURCHASES, PRICING, AND PAYMENTS

• Pricing: All prices displayed on the Platform are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless specified otherwise. We and our vendors reserve the right to modify prices at any time without prior notice.
• Payment Terms: Payment must be made in full at the time of placing an order. We accept major credit cards, debit cards, UPI, and net banking through secure, PCI-DSS compliant third-party payment gateways.
• Order Acceptance: Your receipt of an electronic order confirmation does not signify our final acceptance of your order. We reserve the right to cancel or limit order quantities at our sole discretion due to pricing errors, product unavailability, or suspected fraudulent activity. If an order is canceled after payment processing, a full refund will be issued to the original payment method.

4. PERSONALIZATION & CUSTOM ORDERS

Trugift proudly offers deep personalization choices, including custom-engraved marble, custom text, and handwritten notes.

• Content Restrictions: You may not submit personalized text or imagery that is unlawful, defamatory, obscene, deeply offensive, infringing on third-party intellectual property rights, or otherwise harmful.
• Finality of Custom Specs: Because personalized items are uniquely crafted based on your inputs, you are entirely responsible for verifying structural spellings, names, dates, and design options before submitting your order. Changes cannot be made once production has commenced.

5. SHIPPING, LOGISTICS, AND DELIVERY

• Delivery Estimates: Shipping timelines and dates provided during checkout are estimates only. While we partner with premium domestic carriers to ensure high-speed delivery, Trugift is not liable for delayed deliveries caused by shipping carrier bottlenecks, severe weather conditions, or incorrect address provisions.
• Recipient Information: When organizing a gift delivery to a third party, you must ensure you have the recipient's explicit consent to share their name, delivery address, and contact number with us and our fulfillment partners.

6. RETURNS, REFUNDS, AND CANCELLATIONS

• Standard Items: Unused, non-customized products in their original packaging may be eligible for return or exchange within the standard window outlined in our Return Policy, provided they arrive damaged or defective.
• Personalized/Custom Items: Due to the bespoke nature of custom-engraved, handwritten, or custom-curated gift boxes, all personalized orders are strictly non-returnable and non-refundable, unless there is a physical defect or manufacturing error caused by the vendor.
• Damaged on Arrival: If a curated hamper or item arrives damaged, you must contact admin@thetrugift.com within 48 hours of delivery with photographic proof of the damaged box and contents to initiate a replacement or refund processing.

7. VENDOR PROTOCOLS & MANDATORY COMPLIANCE

Independent creators registering an account to sell items on Trugift must adhere to our standard Vendor Agreement clauses:

• Onboarding & KYC: Vendors must submit valid registration certificates (Proprietorship, LLP, or Company), a PAN card, a GSTIN, financial proof (such as a cancelled cheque or bank statement with IFSC), and Udyam/MSME registration if applicable.
• Listing Standards: Product descriptions, prices, and imagery uploaded by vendors must be entirely accurate and must not infringe on third-party intellectual property rights.
• Indemnification: Vendors agree to protect, defend, and hold Trugift harmless against legal claims, losses, or damages stemming from product defects, IP infringements, or individual tax non-compliance.
• Suspension: Trugift maintains the unilateral right to block or terminate vendor dashboards for fraudulent behavior, poor customer ratings, or repeated late fulfillment.

8. INTELLECTUAL PROPERTY RIGHTS

The Platform, including its layout, logo, code, design frameworks, branding assets, images, text, and graphics, is the exclusive intellectual property of Trugift or its licensors and is protected by Indian and international copyright, trademark, and proprietary rights laws. You are granted a limited, non-transferable, and revocable license to access the platform for personal, non-commercial shopping purposes only.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Trugift, its founders, employees, or vendors shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses arising out of or connecting to your use or inability to use the Platform. Our total aggregate liability for any claim arising under these Terms shall not exceed the actual amount paid by you for the specific product transaction under dispute.

10. GOVERNING LAW AND DISPUTE RESOLUTION

• Governing Law: These Terms and any operational disputes arising out of them shall be governed by, interpreted, and enforced in accordance with the laws of India, without regard to conflict of law principles.
• Dispute Resolution: Any dispute, conflict, or claim arising out of these Terms shall first be attempted to be settled amicably. If an amicable settlement cannot be reached, the dispute shall be resolved through binding Arbitration and Conciliation before litigation, conducted by a sole arbitrator appointed mutually.
• Jurisdiction: Subject to arbitration protocols, the courts located in Mumbai, Maharashtra, India shall hold exclusive jurisdiction over any legal proceedings.
